End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE APPLICATION.

By downloading, installing, or using the Sheet Music Manager application ("Application" or "App"), you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Application.

This EULA is a legal agreement between you (either an individual or a single entity) and Thought Cartography Studios LLC ("Company," "we," "us," or "our") for the Application that accompanies this EULA.

1. Grant of License

1.1 License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the Application on devices that you own or control
• Use the Application for your personal or internal business purposes
• Access and use the features and functionality of the Application as documented

1.2 Device Limitations

You may install and use the Application on multiple devices that you own or control, subject to any usage limitations specified in your subscription plan or in the Application documentation.

1.3 Backup Copies

You may make backup copies of the Application for archival purposes only, provided that such copies include all copyright and other proprietary notices contained in the original.

2. License Restrictions

Except as expressly permitted in this EULA, you may not:

• Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application
• Modification: Modify, adapt, alter, translate, or create derivative works of the Application
• Distribution: Distribute, sell, lease, rent, lend, or sublicense the Application to third parties
• Commercial Use: Use the Application for commercial purposes beyond those permitted by your subscription plan
• Circumvention: Remove, alter, or obscure any proprietary notices or security features
• Malicious Use: Use the Application for any illegal, harmful, or malicious purposes
• Network Interference: Use the Application in a manner that interferes with or disrupts networks or services
• Automated Access: Use automated systems to access the Application beyond normal usage patterns

3. Intellectual Property Rights

3.1 Ownership

The Application and all intellectual property rights therein are and shall remain the exclusive property of Thought Cartography Studios LLC and its licensors. This includes but is not limited to:

• Software code, algorithms, and architecture
• User interface design and graphics
• Documentation and service information
• Trademarks, service marks, and logos
• Optical music recognition technology and databases

3.2 No Transfer of Ownership

This EULA does not transfer any ownership rights to you. You acquire only a limited license to use the Application as specified in this EULA.

3.3 Third-Party Components

The Application may include third-party software components that are subject to separate license terms. Such components are identified in the Application documentation or within the Application itself.

4. User-Generated Content

4.1 Your Content Rights

You retain all ownership rights to any content (including sheet music, audio files, and other materials) that you create, upload, or process using the Application.

4.2 License to Process

By using the Application to process your content, you grant us a limited, temporary, non-exclusive license to process your content solely for the purpose of providing the optical music recognition service.

4.3 Content Responsibility

You are solely responsible for your content and must ensure that you have all necessary rights to use and process such content through the Application. You represent and warrant that your use of the Application does not infringe on the rights of any third party.

4.4 Content Deletion

We automatically delete processed content according to our data retention policies. Local content stored on your device remains under your control.

5. Privacy and Data Collection

5.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into this EULA by reference.

5.2 Data Collection

The Application may collect certain information about your device and usage patterns to improve functionality. This may include:

• Device information and operating system details
• Application usage statistics and performance data
• Error reports and diagnostic information
• Feature usage and preferences

5.3 Consent

By using the Application, you consent to the collection and use of information as described in our Privacy Policy.

6. Updates and Modifications

6.1 Automatic Updates

The Application may automatically download and install updates to improve functionality, security, and performance. You consent to such automatic updates as part of your use of the Application.

6.2 Changes to Features

We reserve the right to modify, suspend, or discontinue any features of the Application at any time. We will make reasonable efforts to provide notice of significant changes.

6.3 EULA Updates

We may update this EULA from time to time. Significant changes will be communicated through the Application or other appropriate means. Your continued use of the Application after such changes constitutes acceptance of the updated EULA.

7. Third-Party Content and Services

7.1 Third-Party Services

The Application may integrate with or provide access to third-party services, content, or software. We do not control such third-party offerings and are not responsible for their content, functionality, or availability.

7.2 Third-Party Terms

Your use of third-party services through the Application may be subject to additional terms and conditions imposed by such third parties.

7.3 No Endorsement

Our inclusion of or integration with third-party content or services does not constitute an endorsement or recommendation of such offerings.

8. Disclaimers of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Application will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy of optical music recognition results
• Warranties that the Application will meet your specific requirements

The optical music recognition technology, while advanced, may not achieve perfect accuracy in all cases. Results may vary based on factors including image quality, musical complexity, and notation styles.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THOUGHT CARTOGRAPHY STUDIOS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability for any claims arising out of or relating to this EULA or the Application shall not exceed the amount you paid for the Application in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies regardless of the legal theory on which the claim is based and even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thought Cartography Studios LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your use of the Application
• Your violation of this EULA
• Your violation of any rights of another party
• Your content or materials processed through the Application
• Your breach of any representation or warranty made in this EULA

11. Termination

11.1 Termination by You

You may terminate this EULA at any time by uninstalling and ceasing to use the Application.

11.2 Termination by Us

We may terminate this EULA immediately without notice if you violate any terms of this agreement. Upon termination, you must cease all use of the Application and delete all copies.

11.3 Survival

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination of this EULA.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the state in which Thought Cartography Studios LLC is incorporated, without regard to conflict of law principles.

Any disputes arising out of or relating to this EULA shall be resolved in the courts of competent jurisdiction in that state, and you consent to the jurisdiction of such courts.

13. Entire Agreement

This EULA, together with our Privacy Policy and any applicable Terms of Service, constitutes the entire agreement between you and Thought Cartography Studios LLC regarding the Application and supersedes all prior agreements and understandings.

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
