Terms of Service

1. Definitions

In these Terms of Service, the following terms have the meanings specified:

• "Service" means the Sheet Music Manager optical music recognition service, including the website, web application, mobile applications, and API.
• "Company," "we," "us," or "our" refers to Thought Cartography Studios LLC.
• "User," "you," or "your" refers to any individual or entity accessing or using the Service.
• "Content" means any data, text, images, music files, or other materials uploaded, submitted, or transmitted through the Service.
• "Account" means your user account created to access certain features of the Service.
• "Terms" means these Terms of Service as updated from time to time.

2. Acceptance of Terms

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Thought Cartography Studios LLC.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old, you may only use the Service with the involvement and consent of a parent or guardian.

3. Description of Service

Sheet Music Manager is an optical music recognition (OMR) service that converts images and PDF files of sheet music into digital formats including MusicXML and MIDI. The Service includes:

• Web-based file upload and conversion interface
• Mobile applications for iOS and Android devices
• API access for developers and integrations
• File format conversion capabilities
• Service availability and documentation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice to you. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. User Accounts

4.1 Account Creation

Some features of the Service may require you to create an account. When creating an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Security

You are solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Account Termination

You may terminate your account at any time by discontinuing use of the Service. We may suspend or terminate your access immediately if you violate these Terms or engage in prohibited activities.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Upload content that infringes upon the intellectual property rights of others
• Use the Service to violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems (bots, scrapers) to access the Service beyond normal usage patterns
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Upload malicious code, viruses, or any harmful software
• Use the Service for any commercial purpose without our written consent (except as permitted under our API terms)
• Violate any copyright, trademark, or other intellectual property rights

We reserve the right to investigate and take appropriate legal action against anyone who violates these provisions, including removing content and terminating accounts.

6. Content and Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to the content you upload to the Service. By uploading content, you grant us a limited, non-exclusive, temporary license to process your content solely for the purpose of providing the conversion service.

6.2 Content Deletion

We automatically delete your uploaded files and processed results according to our data retention policy as outlined in our Privacy Policy. Original files are deleted within 15 minutes of processing completion.

6.3 Our Intellectual Property

The Service, including its software, algorithms, design, text, graphics, and all intellectual property rights therein, are owned by Thought Cartography Studios LLC or our licensors. You may not copy, modify, distribute, sell, or lease any part of our Service.

6.4 Copyright Compliance

You represent and warrant that you have the necessary rights to upload and process any content through our Service. You are solely responsible for ensuring that your use of copyrighted material complies with applicable copyright laws.

6.5 DMCA Notice

We respond to notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act. If you believe your copyrighted work has been infringed, please discontinue use of the Service and remove any infringing content.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

8. Payment Terms

8.1 Free and Paid Services

We offer both free and paid versions of our Service. Free usage is subject to certain limitations as described on our website. Paid services provide additional features and higher usage limits.

8.2 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information, you represent that you are authorized to use the designated payment method.

9. Service Availability

We strive to provide reliable service availability, but we do not guarantee that the Service will be uninterrupted or error-free. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• System upgrades or improvements
• Technical difficulties or third-party service issues
• Force majeure events beyond our control

We will make reasonable efforts to notify users of planned maintenance when possible.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding the accuracy, reliability, or completeness of the Service
• Warranties that the Service will meet your requirements or be uninterrupted
• Warranties regarding the accuracy of optical music recognition results

The optical music recognition technology, while advanced, may not achieve 100% accuracy in all cases. Results may vary depending on image quality, musical complexity, and other factors.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THOUGHT CARTOGRAPHY STUDIOS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Thought Cartography Studios LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or materials uploaded to the Service

13. Termination

13.1 Termination by You

You may stop using the Service at any time. The Service is provided free of charge and as-is.

13.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you violate these Terms or engage in prohibited activities.

13.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Thought Cartography Studios LLC is incorporated, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for claims that may be brought in small claims court.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

15. Changes to Terms

We may update these Terms from time to time. When we make changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Provide notice of material changes through the Service
• Give you an opportunity to review the changes before they take effect

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
